Please read these Terms carefully. By creating an account or using any UnifiedTalk service you agree to be bound by these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

Acceptance of Terms

These Terms and Conditions ("Terms") form a legally binding agreement between you ("User", "Customer", or "you") and UnifiedTalk ("we", "us", or "our") governing your access to and use of the UnifiedTalk platform and all related services, APIs, documentation, and websites (collectively, the "Service").

By registering for an account, clicking "I Agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, do not access or use the Service. We reserve the right to refuse service to anyone at our discretion.

Definitions

  • "Service" means the UnifiedTalk platform, including the web dashboard, mobile apps, APIs, and all features such as the unified inbox, AI automation, WhatsApp integration, Facebook Messenger integration, website chat widget, bulk SMS, and mobile app messaging SDK.
  • "Account" means the unique login credentials and workspace created when you register.
  • "Customer Data" means all data, messages, files, and content you or your end users upload, transmit, or store through the Service.
  • "Subscription Plan" means the paid or free tier you have selected as displayed on our Pricing page.
  • "End User" means any person — including your customers or contacts — who interacts with the Service through channels you have configured.
  • "Authorised User" means any employee, contractor, or agent of yours who you permit to access your Account.

Your Account

To access the Service you must register and create an Account. You agree to:

  • Provide accurate, current, and complete information during registration and keep it up to date.
  • Maintain the confidentiality of your password and restrict access to your Account.
  • Accept responsibility for all activities that occur under your Account, whether or not authorised by you.
  • Notify us immediately at security@unifiedtalk.com if you suspect any unauthorised use of your Account.
  • Not share login credentials with persons outside your organisation or transfer your Account to another party.

We reserve the right to suspend or terminate Accounts that contain false or misleading information, or that have been inactive for more than 12 consecutive months on a free plan.

Permitted Use

Subject to these Terms and your active Subscription Plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes, including:

  • Managing customer conversations across connected channels (WhatsApp, Facebook Messenger, website chat, mobile app messaging, SMS).
  • Deploying AI-powered chatbots and automated workflows within the platform.
  • Sending bulk SMS campaigns, OTP messages, and transactional alerts to consenting recipients.
  • Accessing reporting, analytics, and conversation history for your team.
  • Integrating the Service with your own systems via our published APIs, within documented rate limits.

Any use outside the scope of your Subscription Plan requires prior written approval from UnifiedTalk.

Prohibited Use

You must not use the Service for any of the following purposes:

Sending unsolicited bulk messages (spam) or contacting recipients without valid consent.
Transmitting illegal, harmful, threatening, abusive, harassing, or defamatory content.
Impersonating any person or entity or misrepresenting your affiliation with UnifiedTalk.
Attempting to gain unauthorised access to our systems or another user's account.
Reverse-engineering, decompiling, or attempting to extract source code from the Service.
Selling, reselling, or sublicensing the Service without our express written permission.
Using the Service in any way that violates WhatsApp, Facebook, or any third-party platform policies.
Sending content that promotes violence, discrimination, illegal activity, or adult material without appropriate gating.

Violation of these restrictions may result in immediate suspension or permanent termination of your Account without refund.

Subscriptions & Billing

Access to paid features of the Service requires an active Subscription Plan. By subscribing you agree to the following billing terms:

Topic Policy
Billing cycle Monthly or annual, as selected at checkout. Annual plans are billed upfront.
Auto-renewal Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date.
Price changes We will give at least 30 days' notice of price changes before they take effect on your next billing cycle.
Refunds Monthly plans: no refund for the current billing period. Annual plans: pro-rata refund for unused full months, minus any discounts applied.
Failed payments Three failed attempts will result in Service suspension. Access is restored once payment is received.
Taxes Prices are exclusive of VAT or similar taxes, added at the applicable rate for your jurisdiction. Saudi Arabia customers are subject to 15% VAT per the Zakat, Tax and Customs Authority (ZATCA) regulations.

All fees are non-negotiable unless agreed in a separate written order form. Disputes must be raised within 30 days of the invoice date.

Intellectual Property

Our IP: UnifiedTalk and its licensors retain all right, title, and interest in the Service, including all software, designs, trademarks, logos, and documentation. These Terms do not grant you any ownership rights in the Service.

Your IP: You retain full ownership of all Customer Data you submit to the Service. You grant UnifiedTalk a limited licence to host, process, and transmit Customer Data solely to provide the Service to you.

Feedback: If you submit suggestions, bug reports, or feature requests to us, you grant UnifiedTalk a royalty-free, worldwide, perpetual licence to use and incorporate that feedback without any obligation to you.

Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key data commitments include:

  • We process Customer Data only as directed by you and as necessary to provide the Service.
  • We do not sell Customer Data to third parties.
  • You are responsible for obtaining all necessary consents from your End Users to send messages and process their data through the Service.
  • You must comply with all applicable data protection laws (including GDPR, where relevant) in relation to Customer Data.
  • Upon account termination, Customer Data will be deleted or returned as described in our Privacy Policy.

Third-Party Services

The Service integrates with third-party platforms including WhatsApp Business API (Meta), Facebook Messenger, and SMS gateway providers. By connecting these services you agree that:

  • Your use of connected third-party services is governed by those platforms' own terms of service and policies.
  • UnifiedTalk is not responsible for the availability, accuracy, or conduct of any third-party platform.
  • Suspension or policy changes by a third-party platform (e.g., Meta disabling a WhatsApp Business account) do not entitle you to a refund of UnifiedTalk fees.
  • You must independently obtain and maintain any approvals, business verification, or licences required by third-party platforms.

Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or completely secure at all times.
  • Any results obtained from using the Service will be accurate or reliable.
  • Message delivery rates will meet any specific targets (delivery depends in part on third-party carrier and platform networks).
  • The Service will meet all of your specific business requirements.

We aim for 99.5% monthly uptime and publish our service status at unifiedtalk.com. Planned maintenance will be communicated in advance where possible.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIFIEDTALK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN ALL CASES, UNIFIEDTALK'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO UNIFIEDTALK IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) USD 100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

Termination

By you: You may cancel your Subscription at any time through your account settings or by contacting info@unifiedtalk.com. Cancellation takes effect at the end of the current billing period.

By us: We may suspend or terminate your access to the Service immediately, without notice, if:

  • You breach any provision of these Terms and fail to remedy the breach within 7 days of written notice.
  • You fail to pay any fees when due and do not resolve the payment within 14 days.
  • We are required to do so by law or to comply with a third-party platform policy.
  • Continued provision of the Service would expose us to legal liability or reputational harm.

Effect of termination: Upon termination, your right to use the Service ceases immediately. We will retain and then delete your Customer Data in accordance with our Privacy Policy. Sections covering Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law survive termination.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Kingdom of Bahrain, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Bahrain.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief in any competent court.

Customers operating in or serving users in Saudi Arabia acknowledge that certain mandatory provisions of Saudi law — including the E-Commerce Law (Royal Decree No. M/126), the Anti-Cyber Crime Law, and the PDPL — apply to their use of the Service regardless of the governing law clause above.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes we will:

  • Post a prominent notice on our website and within the dashboard at least 30 days before the changes take effect.
  • Send an email notification to the primary address on file for your Account.
  • Update the "Last Updated" date at the top of this page.

Your continued use of the Service after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your Subscription before the effective date.

Saudi Arabia & Regional Compliance

UnifiedTalk actively serves customers in Saudi Arabia and the wider GCC region. The following obligations apply to all customers using the Service to operate in or send communications to Saudi Arabia.

  • PDPL compliance: Customers who process personal data of Saudi residents through the Service must independently comply with the Saudi Personal Data Protection Law (PDPL) — Royal Decree No. M/19, effective 14 September 2023 — and are responsible for obtaining valid legal bases for processing, honouring data subject rights, and notifying the NDMO of any breaches.
  • SMS & messaging regulations: Bulk SMS and marketing messages sent to Saudi numbers must comply with CST (Communications, Space and Technology Commission) regulations, including mandatory opt-in consent, registered sender IDs, and compliant opt-out mechanisms. Customers are solely responsible for obtaining and maintaining regulatory approvals for their campaigns.
  • E-Commerce Law: Customers using the Service for commercial transactions in Saudi Arabia must comply with the Saudi E-Commerce Law (Royal Decree No. M/126) and its implementing regulations, including price transparency and consumer protection obligations.
  • Anti-Cyber Crime Law: Use of the Service in a manner that violates the Saudi Anti-Cyber Crime Law (Royal Decree No. M/17) — including unauthorised access, fraud, or transmission of prohibited content — is strictly prohibited and may result in immediate account termination and reporting to authorities.
  • Content standards: All content transmitted through the Service must comply with Saudi cultural and legal standards. Transmission of content prohibited under Saudi law, including content contrary to public order, religious values, or morals, is not permitted.
  • VAT: A 15% VAT rate applies to invoices issued to Saudi-registered entities, in accordance with ZATCA regulations. Customers are responsible for providing accurate VAT registration details.

UnifiedTalk cooperates with Saudi regulatory authorities including the NDMO, CST, and ZATCA as required by law. For compliance enquiries specific to Saudi Arabia, contact legal@unifiedtalk.com.
